These Terms of Service ("Terms") govern your access to and use of the Caravel platform, including the Mayboard application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. 1. SERVICE DESCRIPTION Caravel is an AI-native film studio platform that provides tools for animation, cinema, and video storytelling production. The Service includes the Mayboard application, which enables users to create, manage, and generate digital content using generative AI technologies. 2. ACCEPTANCE OF TERMS By creating an account or using the Service, you represent that you: - Are at least 18 years of age or have the consent of a parent or legal guardian - Have the legal capacity to enter into these Terms - Will comply with all applicable laws and regulations 3. USER ACCOUNTS 3.1 Account Creation You must provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials. 3.2 Account Security You are responsible for all activities that occur under your account. You agree to notify Caravel immediately of any unauthorized use of your account. 4. ACCEPTABLE USE You agree not to use the Service to: - Violate any applicable laws or regulations - Infringe upon the intellectual property rights of others - Upload or transmit viruses, malware, or any other harmful code - Harass, abuse, or harm other users - Attempt to gain unauthorized access to the Service or related systems - Use the Service for any illegal or unauthorized purpose - Generate content that is defamatory, obscene, or otherwise objectionable - Reverse engineer, decompile, or disassemble any part of the Service 5. INTELLECTUAL PROPERTY 5.1 Caravel's Rights The Service, including all software, designs, graphics, text, and other content, is owned by Caravel and is protected by copyright, trademark, and other intellectual property laws. Caravel retains all rights, title, and interest in the Service. 5.2 User Content You retain all rights to the content you create using the Service ("User Content"). By using the Service, you grant Caravel a limited, non-exclusive, worldwide license to use, reproduce, and process your User Content solely for the purpose of providing and improving the Service. 5.3 AI-Generated Content Content generated using the Service's AI tools may be subject to the terms of the underlying AI service providers. You are responsible for ensuring your use of AI-generated content complies with applicable laws and third-party terms. 6. THIRD-PARTY SERVICES The Service integrates with third-party AI services, including but not limited to OpenAI, Anthropic, and ComfyUI. Your use of these services through the platform may be subject to additional terms and conditions imposed by those providers. 7. FEES AND PAYMENT Caravel reserves the right to charge fees for access to the Service. Any applicable fees will be communicated to you in advance. You are responsible for all charges associated with your use of the Service. 8. DATA AND PRIVACY Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy. 9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: 9.1 The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 9.2 Caravel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, arising from: - Your use or inability to use the Service - Unauthorized access to or alteration of your content - Errors, bugs, or interruptions in the Service - Any third-party content or conduct 9.3 Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to Caravel in the twelve (12) months preceding the claim. 10. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Caravel, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: - Your use of the Service - Your violation of these Terms - Your violation of any rights of another party - Your User Content 11. TERMINATION 11.1 By You You may terminate your account at any time by contacting us at [email protected]. 11.2 By Caravel We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, including if: - You violate these Terms - Your use of the Service poses a security risk - Required by law or governmental authority 11.3 Effect of Termination Upon termination, your right to access and use the Service will immediately cease. We may delete your account and User Content in accordance with our data retention policies. 12. MODIFICATIONS TO THE SERVICE AND TERMS 12.1 Service Modifications Caravel reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. 12.2 Terms Modifications We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. 13. GOVERNING LAW AND JURISDICTION These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of France. 14. GENERAL PROVISIONS 15.1 Entire Agreement These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Caravel regarding the Service. 15.2 Severability If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 15.3 Waiver No waiver of any provision of these Terms shall constitute a waiver of any other provision or a continuing waiver. 15.4 Assignment You may not assign or transfer these Terms or your account without our prior written consent. Caravel may assign or transfer these Terms at any time. 15.5 No Agency No agency, partnership, joint venture, or employment relationship is created between you and Caravel as a result of these Terms or your use of the Service. 16.
